Standard Terms and Conditions

These terms and conditions apply to the provision of all Redbox Media known in this document as Redbox Design, Graphic Design Specialists services unless otherwise notified in writing by an authorised officer of Redbox Design. These terms and conditions are all the terms of the contract between you “The Client” and Redbox Design, Graphic Design Specialists.

Quotations
All Quotations are valid for a maximum of 15 days.
Quotations issued detail the minimum costs for fees and Billable Expenses only and may be subject to change due to the Bespoke nature of the service provided by Redbox. Final fees and Billable Expenses shall be shown when invoice is rendered. The Client’s express approval shall be obtained for any increases in fees or expenses that exceed the original estimate by ten percent (10%) or more.

Payment Terms
Payment is due at each milestone due date as noted in the Production/Payment Schedule.
All invoices are payable within fifteen (15) days of date of Invoice.
The Client is liable for all charges incurred through their customer account, whether or not personally incurred, and for all costs incurred in fulfilling this agreement including the collection of our charges.
If payment is delayed interest may be charged on a daily basis at 5% over the prevailing base rate of Allied Irish Banks and the right to initiate direct contact by telephone in order to seek payment of any amounts due is reserved.
Invoices shall be forwarded to the address shown in this agreement unless Redbox is informed of any change to same, in writing. All invoices and notices may issue to any address where Redbox has reasonable belief the Client can be contacted.
The right to request a deposit/prepayment/retainer is reserved before our services are provided, or subsequently as security for payment of our charges/costs. Same may be refundable after the termination of contract, or alternatively may be offset against amounts associated with the project as due to Redbox.
The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.
All deposits are not refundable.

Cancellation/Termination Clause
In the event of Cancellation of this assignment by the Client, any milestone payments made prior to cancellation shall be retained by Redbox Design Ltd.
Cancellation Penalties shall apply as follows:

At or during Phase 1 or 2            A fee of 30% of the Total quoted balance shall apply
At or during Phase 3 or 4            A fee of 50% of the Total quoted balance shall apply
At or during Phase 5 or later            A fee of 75% of the Total quoted balance shall apply

Where cancellation occurs after the delivery of the Initial Version, the cancellation fee shall be one hundred percent (100%) of the balance of all remaining dues.
Regardless of when the project is cancelled, all billable expenses already incurred by Redbox Design shall be paid by the Client in full. In the event of cancellation, Redbox retains ownership of all copyrights and any original artwork, digital files, disks, CDs or other creative output prepared in connection with the project. In the event of cancellation/termination all prepared artwork held by the Client must be returned; the Client is responsible for any costs associated with delivery of same, and financial penalties will apply in the event of non-return of same.

Client’s Alterations
The Client will be fully responsible for incurred where alterations are requested in excess of the quantity provided for in the agreed quotation. Any changes requested by the Client shall be considered Client’s Alterations if they are requested after the acceptance of the Project Design. There shall be no charges to the Client for revisions or corrections or additions made necessary by errors on the part of Redbox. Where the project moves past the timeline as indicated due to alterations requested by the client, and not provided for in the original quotation, then a fee of €80 per hour shall be added to the final invoice – this may not be indicated until the end of the project. Redbox will not be held responsible for delays to the Delivery Schedule necessitated by such revisions.
Any additions or revisions requested after delivery of the final product will be undertaken only when full payment of the originally agreed amount has been received.

Ownership
All design and concepts remain the property of Redbox Design until paid in full. On completion of the project and when payment is received, Copyright of the final Product transfers to the client, if all sides are in agreement.
The Client acknowledges and agrees that Redbox retains ownership of all original artwork, in any media, including digital files, whether preliminary or final. Redbox retains the right to use preliminary designs as well as samples of the completed project in future marketing materials, design competitions, or other uses. 
The Client must protect all final art which is the subject of this agreement against duplication and alteration.
Redbox Design reserves the entitlement to receive a credit line with any editorial usage.

General Dependencies
The Client may be responsible for the payment of website hosting unless otherwise agreed/arranged.
Redbox Design retains the right to choose a printer, hosting company, or other third party on behalf of The Client.
Where adjustments to the Clients existing hosting arrangement are required, Redbox Design. Shall not be held responsible for the setup of new email accounts or any other problems that may occur due to this change. Redbox Design reserves the right to appoint an agent to facilitate this change over if problems do occur.
Feedback on design work submitted for perusal is required within 2 days so as not to unnecessarily impact on the delivery of the project. All work will be undertaken on at a location decided by Redbox Design.
The client will assume responsibility for the provision and maintenance of all live hardware, software and operating environments. The scope and nature of this project can be revised by mutual agreement prior to completion, with due regard to any work already undertaken. Changes must be made at the PDF proofing stage. Any changes or revisions made after initial PDF proofing stage will be subject to a charge of €80 per hour.

Disclaimer
Redbox Design shall not be liable if it fails to carry out the services contracted for reasons which are beyond our control. These include “Acts of God” (examples; earthquake, flood) or “Force Majeure” (example; War) electrical black outs, electrical surges disrupting computer equipment and computer viruses which may attack computer systems and files. Redbox Design shall not be liable for the Consequential damages whether they arise in contract or any other form of civil action including negligence and even if they are our fault; Consequential damages include but are not limited to, lost income, profits, interest or markets.

Acceptance of Terms
The signature of both parties on any quotation or other notice which refers to this document shall evidence acceptance of these terms.
